This Independent Contractor Agreement (“Agreement”) is entered into by and between:

Client: [Client Name], located at [Client Address]
Contractor: Alexander Falossi, operating under the business name Click’s Journey, located at 4041 Via Laguna, Santa Barbara, CA 93101

Scope of Services

The Contractor agrees to provide website and software tool development services, including:

  • Designing and building websites
  • Strategic planning and implementation of software tools
  • Technical setup and configuration of integrated systems

All services will be performed with due diligence, professional skill, and in accordance with the Client’s business needs.

Payment Terms

The Client agrees to compensate the Contractor as outlined in the submitted order form. Payment may be structured as a one-time fee, recurring monthly payment, or another arrangement, depending on the scope of services selected. All payments are due according to the schedule and method specified in the order form, unless otherwise agreed upon in writing by both parties. Any changes to the payment amount or terms must be mutually agreed to in writing.

Termination & Refund Policy

This Agreement may be terminated by either party at any time with written notice. Upon termination, the Client is responsible for payment of all services rendered through the termination date. All consulting and development services are non-refundable, regardless of project status or outcome.

Non-Exclusivity

The Contractor retains the right to perform services for other clients, including businesses that may be competitors of the Client. This Agreement does not create any exclusivity or non-compete obligation.

Confidentiality

Both parties agree to maintain the confidentiality of all proprietary, sensitive, or business-related information disclosed during the course of the engagement. No confidential information shall be disclosed without prior written consent, unless required by law.

Indemnification

The Client agrees to indemnify, defend, and hold harmless the Contractor from any and all claims, losses, liabilities, or damages arising from the Client’s use of the services, including but not limited to system errors or technical failures.

Governing Law

This Agreement shall be governed by the laws of the State of California. Any disputes shall be resolved exclusively in the courts located in California.

Entire Agreement

This document represents the complete agreement between the parties and supersedes all prior agreements or understandings, whether oral or written.

Acceptance

By completing, checking the Agreement Terms checkbox, and submitting the Click’s Journey Consulting & Setup Form, the Client agrees to be bound by the terms of this Agreement.
